Sauce Referrals Terms & Conditions
Effective April 1, 2024
These Terms and Conditions (the “Terms”) apply to Sauce’s Referral Program (the “Program”). By submitting a referral for a restaurant or otherwise participating in the Program, you agree to be bound by these Terms and Sauce’s Privacy Policy.
1. Program Eligibility
Who is Eligible to Participate?
All Sauce customers (or current employees of Sauce customers) who refer a restaurant to Sauce through the online referral form (the “Online referral form”) or in writing to a Sauce employee may be eligible to receive a referral bonus. This may include owners, GMs, bartenders, servers, hosts, kitchen staff, etc.
Who is Not Eligible to Participate?
Sauce employees, immediate family members of Sauce employees or authorized Sauce Resellers and immediate family members of Sauce Resellers.
Restaurant owners, operators, or business decision makers are not permitted to refer their own restaurant as new customers.
Individuals under 18 years old.
2. Referral Requirements
Subject to these Terms, for each “Qualified Referral” that meets the following criteria, you will receive the $500 Bonus Payout. A “Qualified Referral” is a restaurant that:
Is referred to Sauce either through the online referral form, or in writing (email is acceptable) to an existing Sauce employee within the previous 6 months. Verbal referrals are unable to be verified and will not be accepted;
is not, at the time of referral, an existing or previous customer of Sauce;
is not, at the time of referral, an existing lead in the Sauce system (Sauce reserves the right in its sole discretion to determine the original lead source. Exceptions may be made, in Sauce’s sole discretion, if the referral has not been contacted by Sauce for at least 6 months); and
has entered into a Merchant Agreement Initial Order Form with Sauce, has received its first Sauce order, and is processing transactions on the Sauce platform and has processed at least one hundred (100) orders in its first thirty (30) days.
For the purposes of the Program, an order is defined as any order placed through the Sauce platform that was not subsequently canceled within the next 30 days.
3. Payouts
Referrers will be notified upon qualification for a bonus payment. Referrers must complete an electronic W9 form before a bonus payment can be issued.
Bonus Payouts will be issued to the individual referrer in response to a Melio or Quickbooks invoice for the relevant amount.
A referrer will have 90 (ninety) days from email notification to submit a request for Bonus Payout. A request made after 90 days will be deemed invalid.
There is no limit to the number of referrals an individual can submit, or eligible Bonus Payouts for Qualified Referrals an individual can receive, while the Program is effective.
Sauce will determine, at its sole discretion, whether a referral is a qualified referral eligible for a bonus payout.
Bonuses will be paid at the beginning of each calendar Quarter that follows Quarter that a referral has been qualified. For example:
Signed on Jan 15, got first order on Feb 12, Will be paid by mid following Q
Signed on Jan 15, got first order on March 12, Will graduate the 30 days only in April, will be paid by EO-July
Clawback of Referral Bonuses
Any Bonus Payout issued under the Program is expressly conditioned upon the referred restaurant (the “Referred Merchant”) remaining an active Sauce merchant in good standing under its executed Merchant Agreement and Initial Order Form with Sauce for a continuous period of twelve (12) months following the date on which the Referred Merchant processes its first order on the Sauce platform.
If, prior to the expiration of such twelve (12) month period, the Referred Merchant (i) terminates or is terminated under its Merchant Agreement or Initial Order Form, (ii) ceases processing orders on the Sauce platform, (iii) materially breaches its Merchant Agreement, or (iv) otherwise fails to remain an active merchant in good standing, then the associated referral shall be deemed retroactively disqualified and Sauce shall have the right to recover the full amount of the applicable Bonus Payout (the “Clawback Amount”).
The referrer agrees to repay the Clawback Amount to Sauce within thirty (30) days of written notice. Sauce may, in its sole discretion, recover the Clawback Amount by offset against any current or future referral bonuses or other amounts payable to the referrer, or by any other lawful means
4. Modifications
Sauce reserves the right to modify these Terms or terminate the Program at any time, in its sole discretion, without notice, however we will employ commercially reasonable efforts to post a notice on the referral website.
